Corporate Governance
Our Governance Structure

Governance built for accountability, integrity and long-term growth
At Vestrom Construction Limited, corporate governance provides the framework through which we make decisions, manage risk, protect stakeholder interests and maintain professional accountability.
Our governance approach is designed to support both the discipline required for project delivery today and the institutional scale we are building toward. As Vestrom grows across project delivery, development, infrastructure and investment, we intend to continuously strengthen our governance systems, professional oversight and organisational capacity.

Our Governance Framework
Vestrom operates through a centralised corporate governance and project delivery framework, with clear responsibility between corporate leadership, technical professionals and project teams.
The framework is built around four key functions:

Corporate leadership
Provides strategic direction, corporate oversight and accountability for the company’s performance, growth and long-term objectives.
Leadership is responsible for establishing corporate priorities, approving major engagements, overseeing financial and operational performance, and maintaining the company’s professional and ethical standards.

Technical & Professional Oversight
Vestrom’s projects are supported by appropriately qualified professionals across engineering, quantity surveying, architecture, project management, construction and other specialist disciplines as required.
Where a project requires statutory or specialist professional services, Vestrom works with appropriately qualified and registered professionals within the applicable regulatory framework.

Project Governance
Each engagement is structured around defined responsibilities, deliverables, reporting requirements, quality controls and approval processes.
Project teams are expected to maintain appropriate documentation, monitor programme and cost performance, identify risks early and escalate significant technical, commercial or contractual matters through the appropriate channels.

Corporate & Risk Controls
Our corporate systems support responsible financial management, procurement, contractual administration, regulatory compliance, document control and risk management.
These controls are intended to protect client interests, maintain operational discipline and provide a clear basis for decision-making throughout the project lifecycle.
Our Governance Principles
Accountability
Responsibilities and decision-making authority are clearly defined across corporate and project activities, with appropriate reporting and oversight.
Professional Integrity
We conduct our business with honesty, fairness and professionalism, maintaining high standards in client relationships, procurement, technical work and commercial dealings.
Competence
We recognise that complex projects require the right expertise. We therefore engage qualified professionals and specialist partners according to the technical and statutory requirements of each assignment.
Transparency
We promote clear communication, appropriate documentation and accurate reporting so that clients and stakeholders can make informed decisions.
Risk Management
We identify and manage technical, commercial, programme, safety and delivery risks throughout the project lifecycle, with early escalation where intervention is required.
Responsible Development
We consider the long-term consequences of the projects we help deliver, including quality, durability, resource efficiency, environmental performance and whole-life value.
Professional Collaboration
Vestrom operates as an Integrated Project Delivery (IPD) platform, bringing together the expertise required for each project rather than relying on a rigid organisational structure.
Depending on the nature and scale of an engagement, our project teams may include:
- Civil and structural engineers
- Architects and design professionals
- Quantity surveyors and cost consultants
- Project and construction managers
- BIM and digital engineering specialists
- Building services and specialist consultants
- Contractors, suppliers and technical specialists
This model allows us to assemble the appropriate expertise around each project while maintaining centralised project leadership, coordination and accountability.

Governance Across the Project lifecycle
Our governance framework extends across the full development lifecycle:
01
ORIGINATE
02
PLAN & DESIGN
03
DELIVER & COMMISION
04
OPERATE
At each stage, we establish appropriate controls for scope, cost, programme, quality, risk, compliance and stakeholder coordination.
This lifecycle approach supports our broader ambition to evolve from a project delivery company into an integrated development and infrastructure group.
Governance for Growth
As Vestrom expands, our governance framework will evolve alongside the organisation.
Our long-term ambition encompasses project management, engineering, development, infrastructure, investment and asset participation. This requires governance systems capable of supporting increasingly complex projects, partnerships, capital structures and long-term asset interests.
We therefore view governance not simply as a compliance function, but as an institutional capability that enables sustainable growth and protects long-term value.

Ethics & Compliance
Vestrom is committed to conducting its business in accordance with applicable Kenyan laws, regulations and professional requirements.
We maintain appropriate corporate records and controls and work with qualified professionals where statutory registration, certification or specialist competence is required.
Our approach to compliance extends beyond satisfying minimum regulatory requirements. We seek to build a culture in which professional responsibility, safety, quality and ethical conduct are integral to the way projects are delivered.
